Gauntlet is seeking its first Assistant General Counsel to operate as the second lawyer within the organization, reporting directly to the General Counsel. In this hands-on, remote-first position within the United States and Canada, the incumbent will take full ownership of commercial contracting, draft and negotiate institutional agreements, and build foundational legal processes, playbooks, and templates. The role provides direct access to company leadership and involves advising product teams, managing outside counsel, and handling diverse legal matters spanning corporate governance, employment, intellectual property, and regulatory affairs.

Responsibilities
- Manage commercial contracts from end to end, covering client agreements, institutional arrangements, partner deals, and protocol documents
- Negotiate directly with counterparties and their legal representatives
- Provide guidance to engineering and product teams on onchain products and regulatory boundaries
- Handle corporate governance, equity support, financing, employment, intellectual property, privacy, marketing review, and disputes
- Collaborate with compliance leadership to align contractual obligations and internal controls
- Design templates, contract management workflows, playbooks, and intake procedures
- Leverage artificial intelligence and automation tools to optimize contract review and drafting
Requirements
- Possess extensive commercial contracting background encompassing high-volume agreement drafting and negotiation
- Bring previous in-house legal experience within a compact team requiring independent operation
- Demonstrate versatility across multiple legal disciplines with the ability to quickly master new subject matter
- Show a history of developing legal templates, processes, playbooks, or tooling
- Demonstrate experience collaborating directly with business units such as product, finance, engineering, or compliance
- Hold a Juris Doctor degree and maintain active membership in good standing with at least one US state bar
- Be able to work from within the contiguous United States or Canada
Qualifications
- Prior background within the digital assets, cryptocurrency, fintech, financial services, or onchain products sectors
- Familiarity with regulatory and legal issues bridging traditional and onchain finance
- Experience advising on financial products or interacting with institutional counterparties
- Background supporting corporate financing, equity operations, or regulatory compliance
- Familiarity with legal technology, including contract lifecycle management tools and automation software
