Eudia Counsel seeks a full-time Commercial Contracts Attorney to work remotely. This position involves drafting, reviewing, and negotiating various commercial and technology agreements within an AI-enabled law firm environment.
Eudia Counsel operates as an AI-enabled legal service provider that combines augmented attorneys with proprietary technology to deliver scalable legal solutions. The firm collaborates closely with product and engineering teams to refine its customer brain and leverage software and data for legal execution.
This role suits an attorney who wants to practice law while helping build the systems, playbooks, and technology that shape modern legal service delivery. The attorney will handle complex legal issues, risk assessment, and judgment calls while routine tasks are systematized through AI tools and structured playbooks.
Responsibilities
- Draft, review, and negotiate master services agreements, statements of work, vendor agreements, SaaS agreements, and technology services contracts
- Prepare and negotiate data processing agreements, data-sharing arrangements, non-disclosure agreements, and standard commercial terms
- Support strategic commercial relationships by negotiating product integration, partnership, and platform agreements
- Advise on contractual risk allocation, liability, indemnities, and limitation of liability provisions
- Provide guidance on intellectual property ownership, licensing, and usage rights across commercial and technology transactions
- Advise on data ownership, licensing, security, data breaches, and incident response provisions
- Develop and negotiate AI-related contractual provisions concerning model training data, AI inputs and outputs, and associated risks
- Create and maintain contract playbooks, templates, and practical guidance for consistency and efficiency
- Use AI-enabled contract review and data extraction tools to improve contracting workflows
- Collaborate with product, engineering, and cross-functional teams to enhance legal technology tools
Requirements
- Juris Doctor degree
- Active Arizona bar admission
- Experience in commercial contracting, technology transactions, or a related transactional practice
- Demonstrated experience drafting and negotiating commercial agreements such as MSAs, SaaS agreements, vendor contracts, NDAs, and licensing agreements
- Ability to adapt quickly across industries, deal types, and client environments
- Comfort working within established playbooks while applying independent legal judgment
- Collaboration skills for partnering across legal, business, product, engineering, and external stakeholders
- Understanding of contract law, negotiation strategy, and balancing legal risk with business objectives
