Collibra NV is hiring a Commercial Counsel to support its legal team on a remote basis. This position involves managing enterprise SaaS, software, and technology agreements, as well as handling privacy matters. The professional in this role will provide critical legal and commercial support to procurement and sales operations, guiding transactions to completion while mitigating risk and adhering to compliance standards.
The role requires an individual who can draft, review, and negotiate various commercial contracts, including reseller, partnership, supply, and licensing agreements. Responsibilities also include structuring customer arrangements, negotiating data processing agreements and privacy terms, and staying updated on regulatory developments. Success in this position is measured through progressive milestones: familiarization with the company's risk appetite and product within the first month, independent negotiation of enterprise contracts by the third month, and contributions to process enhancements by the sixth month.
Responsibilities
- Draft, review, and negotiate technology, software, and enterprise SaaS agreements such as licensing, reseller, supply, and partnership contracts
- Manage the commercial contracting process efficiently while protecting the organization's legal interests
- Partner with finance, sales operations, security, procurement, and sales teams to complete transactions
- Advise on the structure of customer arrangements to support sound business and legal decisions
- Negotiate privacy terms, security addenda, AI addenda, and data processing agreements with vendors and customers
- Monitor legal and regulatory developments to assist with compliance requirements
Requirements
- Possess at least five years of relevant legal experience, preferably as an in-house commercial contracts counsel in the software industry
- Hold a J.D. and maintain active admission to practice law in good standing in at least one U.S. state
- Demonstrate hands-on privacy experience within a SaaS context, including negotiating data processing agreements
- Have a working knowledge of GDPR, international data transfer mechanisms, and U.S. state privacy laws
- Show proficiency in leveraging AI tools to solve business challenges and streamline workflows
- Demonstrate experience negotiating with public sector or large enterprise customers
- Hold a bachelor's degree or possess equivalent related working experience
