Foodsmart is currently seeking a Commercial Counsel to join its remote team on a full-time basis. In this role, you will deliver legal guidance and business risk management across a variety of contract matters to help accelerate the company’s growth. You will draft, review, and negotiate complex agreements while building scalable processes and implementing contracting technologies.
Foodsmart operates a leading digital Foodcare platform in the United States, connecting millions of members with personalized clinical nutrition, dietary assessments, and food benefits to improve health outcomes and reduce care costs. The organization collaborates with national retailers, health plans, and community organizations to make nutritious food accessible and affordable.
This position is well-suited for a self-motivated legal professional with strong transactional experience who enjoys working collaboratively across departments in a fast-paced setting. While healthcare experience is preferred, the role also offers opportunities to expand into areas such as intellectual property, privacy, and employment matters. The annual base salary range for this position is USD 190,000 to 220,000, supplemented by a bonus and benefits.
Responsibilities
- Draft, review, and negotiate revenue-generating contracts with health plans, health systems, and community organizations
- Handle vendor agreements, partnership contracts, business associate agreements, and confidentiality documents
- Structure complex deals involving multiple components and agreements
- Partner with sales, marketing, operations, and client development teams on contract negotiations
- Build processes, create templates, and drive the adoption of tools and AI technology to streamline the contracting workflow
- Provide legal counsel regarding contractual obligations, risk mitigation, and dispute resolution
- Collaborate with finance and security teams to support effective vendor contract review and management
- Train internal stakeholders on legal risks and contract best practices
Requirements
- Juris Doctor degree from a top-tier law school
- Admission to the state bar in the state of residence
- Four to six or more years of legal experience, including transactional work at a top-tier law firm
- Demonstrated contract drafting skills
