Job Description

Responsibilities

• Review, draft, and redline commercial contracts such as MSAs, SOWs, NDAs, SaaS subscription agreements, and vendor documents
• Track contract status, milestones, deadlines, and pending action items for the General Counsel
• Perform initial reviews of incoming vendor and customer agreements to highlight non-standard conditions
• Organize and maintain the contract repository with version control and proper filing of executed documents
• Communicate with outside counsel, organize documentation, and monitor legal billing
• Handle regulatory requests, fraud inquiries, government correspondence, and subpoenas
• Partner with HR on employment policies, offer letters, and severance agreements
• Perform legal research on SaaS commercial practices, cross-border regulations, and data privacy
• Train internal teams, particularly Sales, on liability stances and contract standards
• Maintain legal playbooks, standard operating procedures, and contract templates
• Organize and manage legal holds and related files

Requirements

• Hold a paralegal certificate, law degree, or J.D.
• Possess two to five years of experience working in-house or in a law firm legal environment
• Understand commercial contract structures and standard SaaS agreement terms
• Demonstrate experience in reviewing, redlining, and negotiating NDAs, MSAs, and vendor contracts
• Communicate effectively in written and verbal formats
• Manage multiple priorities with organization and attention to detail
• Use contract management tools, document management systems, Microsoft Office, and Google Workspace

Qualifications

• Experience assisting a General Counsel or senior attorney within a SaaS or technology company
• Knowledge of data privacy regulations including GDPR, CCPA, HIPAA, and SOC 2
• Familiarity with international commercial agreements in EMEA and APAC
• Experience using e-signature platforms like DocuSign and Adobe Sign alongside CLM tools
• Background in cybersecurity, workforce analytics, or data loss prevention industries
