EasyPost is seeking a remote Corporate Counsel to deliver comprehensive legal counsel and strategic guidance across the organization, with a primary emphasis on corporate matters. Established in 2012, EasyPost operates a developer-friendly shipping API designed to simplify logistics for modern enterprises. In this role, the attorney will collaborate closely with internal stakeholders across sales, finance, and product departments to balance commercial objectives with legal risk management.
This position is well-suited for an experienced legal professional who can provide practical, actionable advice rather than merely pointing out obstacles. The chosen candidate will handle diverse tasks ranging from corporate governance and mergers and acquisitions support to negotiating various commercial contracts and administering equity plans. The individual will also act as a primary liaison for managing external counsel concerning litigation, intellectual property, and specialized disputes.

Responsibilities
- Deliver daily legal counsel regarding general corporate matters and strategic business initiatives
- Prepare and maintain corporate governance documentation including board resolutions, meeting records, and materials
- Assist with merger and acquisition activities through legal due diligence and transaction coordination
- Oversee regulatory filings, entity management, and ongoing corporate compliance obligations
- Supervise the administration of company equity plans
- Draft, review, and negotiate revenue, vendor, and partnership agreements
- Partner cross-functionally with finance, product, and sales teams to structure business transactions
- Advise leadership during the creation and rollout of new product offerings and partnerships
- Coordinate external counsel handling intellectual property, trademarks, and litigation disputes
- Refine internal legal workflows, templates, and procedures to aid company expansion
Requirements
- Juris Doctor degree from an accredited law school
- Active admission and good standing with a U.S. state bar
- Minimum of five years of relevant legal practice, including significant in-house experience
- Background working within a technology enterprise
- Experience handling corporate governance, board management, M&A due diligence, equity plans, and regulatory filings
- Demonstrated skill drafting, reviewing, and negotiating commercial contracts
- Must be based in and authorized to work in the United States
Qualifications
- Prior law firm practice in addition to in-house background
- Familiarity with privacy regulations, HIPAA, or healthcare legal issues
